Hannes Snellman Advises Tesi (Finnish Industry Investment Ltd) and Elo Mutual Pension Insurance Company in Connection with the Merger of IQM and Real Asset Acquisition Corp

Hannes Snellman advises Tesi (Finnish Industry Investment Ltd) and Elo Mutual Pension Insurance Company as shareholders in IQM in connection with the cross-border merger of IQM and Real Asset Acquisition Corp. The transaction values IQM at a pre-money equity valuation of approximately USD 1.8 billion and makes IQM the first European quantum company to go public, listing its American Depositary Shares on a leading US stock exchange. A PIPE financing to be completed concurrently with the business combination, subject to the satisfaction of certain customary closing conditions, will provide IQM with certain additional funding.

The transaction provides funding with the aim to accelerate IQM’s technology and commercial development towards fault-tolerance quantum computing, further advancing its position as a leading provider of quantum computers. Headquartered in Finland, IQM has said it is also considering a dual listing that would see the trading of IQM’s ordinary shares on the Helsinki stock exchange, which would be expected to take place following the completion of this transaction.
