Markus Manninen

Markus focuses on M&A and company law related disputes, compliance, and general commercial dispute resolution. He advises domestic and international clients in their internal and external compliance investigations and enforcement proceedings. He represents clients in M&A disputes relating to purchase price adjustments, damages claims, and share redemptions. In the field of general commercial disputes, Markus has litigated and arbitrated cases relating to, e.g., international trade, construction projects, insurance contracts, and lease agreements. He has extensive experience on injunction proceedings.

Markus regularly represents Finnish and foreign corporations in both domestic and international ad hoc arbitrations and in arbitrations administered by various institutional rules (including FAI, ICC, SCAI, and SIAC). In addition, Markus frequently serves as an arbitrator in both ad hoc and administered arbitration proceedings.

Jan Lilius

Jan has vast experience in matters relating to out-of-court and formal restructuring and insolvency. Jan has administered bankruptcy estates and companies under formal restructuring. Jan has also litigated and arbitrated a number of cases relating to other types of business disputes, e.g. complex construction disputes. He regularly represents Finnish and foreign companies in arbitration proceedings conducted under the Finnish Arbitration Act and the Arbitration Rules of the Finland Chamber of Commerce.

Tuire Kuronen

Tuire specialises in mergers and acquisitions, both domestic and cross-border, with a special focus on carve-outs, joint ventures, and long-term contractual and commercial arrangements. She has over 25 years of experience in transactional work in Finland and New York, including auction processes, bilateral processes, cross-border mergers, and demergers, but also private equity and equity investments. Moreover, she advises clients on corporate advisory, general contract law, and foreign direct investment screening. Tuire has special industry expertise in circular economy, waste management, forestry, data center, telecommunication, and healthcare sectors.

 

Johanna Haltia-Tapio

Anders Bygglin

Anders advises domestic and international clients in all aspects of commercial dispute resolution. He has significant experience in contentious matters related to the financial sector, M&A-transactions and shareholders’ disputes, construction and infrastructure projects, and in dispute mandates relating to environmental issues and natural resources. Anders also advises clients in relation to compliance mandates and investigations conducted by various supervisory authorities, including representing clients in pre-trial police investigations and subsequent criminal court proceedings. In addition, he regularly advises on questions related to contentious employment law, including disputes relating to directors’ agreements, non-compete provisions, and misuse of business secrets.

Jari Tukiainen

Jari advises clients in the fields of banking, securities, corporate, and commercial law. He has over 25 years of experience in banking, investment, and securities regulatory issues, securities infrastructures, and corporate financing transactions, including securities offerings and M&A transactions.

Rabbe Sittnikow

Rabbe is a partner within the firm’s M&A and Real Assets Practices. He has over 25 years of experience of corporate law and various private and public M&A deals, most of which have involved a cross-border element. Many of the deals have also involved either private equity funds directly or private equity backed companies.

Rabbe has vast experience in advising clients within the infrastructure, energy, defence and technology sectors, having advised clients on some of the largest Finnish energy distribution deals and in relation to two planned Finnish nuclear power plant projects. He has handled a number of special situations assignments, such as advising the Finnish Government in its 10 billion euro project to procure a new fleet of fighter jets, and assisting Gasgrid Finland, the Finnish gas transmission operator, in chartering Finland’s first ever floating LNG storage vessel.

Henrik Mattson

Riikka’s expertise is corporate advisory and M&A. She regularly acts for listed and non-listed domestic and foreign companies on a wide range of private and public M&A and corporate and ECM transactions. In addition, she chairs AGMs of multiple Finnish public and private companies and is a trusted adviser in corporate, corporate governance, corporate finance, disclosure, insider, other securities market, compliance, and ESG matters.

Riikka is entrusted with non-executive board memberships in various private companies and charitable organisations. Riikka is also a frequent speaker at university lectures and seminars.
