Transaction:
Hannes Snellman advised Easpring Finland New Materials Oy (“EFNM”) in respect of the Finnish law aspects of the EUR 514.4 million green financing package relating to the development and construction of EFNM’s cathode active material (“CAM”) manufacturing plant in Kotka, in the south of Finland. EFNM is a joint venture owned by Beijing Easpring Material Technology (70%), Finnish Minerals Group (28.3%), and LG Energy Solutions (1.7%).
The financing was arranged by Société Générale as sole financial advisor and mandated lead arranger, together with Natixis as co-mandated lead arranger, and four international banks (DNB, ICBC, ING, and Standard Chartered), with support from export credit agencies Finnvera and Sinosure.
Once operational, the Kotka facility is expected to become one of the largest CAM plants in Europe, with a planned first-phase production capacity of 60,000 tonnes per year, supplying battery manufacturers across Europe including LGES, AESC, and SKOn.

Exilion
Hannes Snellman advised Exilion, a leading Finnish renewable energy investor, on its over EUR 8 million investment into a 20 MW / 41 MWh battery energy storage solution, comprising the BESS and a hybrid controller for the BESS and the co-located Varevaara wind farm in Tervola. Once operational in 2027, the facility will provide critical balancing capacity to the electricity market and enhance power system stability, with a hybrid power plant controller enabling the BESS and the wind farm to operate as a single integrated system, further optimising the operation of the wind farm within the grid. Our team advised on the negotiation of construction, supply, and long-term services contracts with Merus Power.

UrbanLight
Hannes Snellman advised UrbanLight, a joint venture between Alma Property Partners and Alea Partners, in the acquisition of a modern warehouse property located at Koskelo, Espoo through a sale and leaseback transaction. The property comprises over 6,000 sqm of lettable area on a plot exceeding 18,000 sqm and is strategically located in Koskelo, one of the Helsinki Metropolitan Area’s established industrial and logistics submarkets.
As part of the transaction, the seller has entered into a long-term lease agreement and will continue to occupy the premises.
Since completing its first acquisitions in early 2024, UrbanLight has grown its portfolio to approximately 55,000 sqm of lettable area.

Hannes Snellman acted as Finnish counsel to Energy Fuels Inc. in the acquisition of Vacuumschmelze GmbH & Co. KG and its related group companies (VAC) from Ara Partners. Energy Fuels is a leading critical mineral company listed on the NYSE, focusing on the production of uranium, rare earth oxides, and medical isotopes.
The transaction comprises Energy Fuels’ acquisition of VAC for a total cash-and-stock consideration of approximately USD 1.9 billion. VAC is an advanced magnetics manufacturing company that specialises in permanent magnet solutions serving sectors such as the automotive, aerospace, defence, data centers, robotics, and semiconductors.
The transaction is expected to close in early 2027, subject to customary closing conditions and regulatory approvals.
