Hannes Snellman Advised OX2 in the construction, development, offtake, and Finnish law aspects of the project financing of two energy storage facilities with a combined capacity of 235 MW/470 MWh
The energy storage facilities will be co-located with the Kannisto wind farm in Halsua and the Korkeamaa wind farm in Soini. Both energy storage facilities will be completed in 2028. The projects represent OX2’s first energy storage additions to its Finnish IPP portfolio, and OX2 has secured a long-term flexible purchase agreement with Norwegian power producer Statkraft for the operation and optimisation of both storage facilities. OX2 has also secured a long-term project financing package with KfW IPEX-Bank, NatWest, Nordea, and SEB through an extension of the commitments already made towards the Kannisto, Korkeamaa, and Salo-Ylikoski wind power projects. The energy storage facilities will remain under OX2’s ownership after completion.
Hannes Snellman advised OX2 in respect of the BESS supply agreements and long term service agreements, balance of plant agreements, optimisation agreements, due diligence as well as Finnish law aspects of the project financing.

Tesi (Finnish Industry Investment Ltd), Elo Mutual Pension Insurance Company IQM, Real Asset Acquisition Corp
Hannes Snellman advises Tesi (Finnish Industry Investment Ltd) and Elo Mutual Pension Insurance Company as shareholders in IQM in connection with the cross-border merger of IQM and Real Asset Acquisition Corp. The transaction values IQM at a pre-money equity valuation of approximately USD 1.8 billion and makes IQM the first European quantum company to go public, listing its American Depositary Shares on a leading U.S. stock exchange. A PIPE financing to be completed concurrently with the business combination, subject to the satisfaction of certain customary closing conditions, will provide IQM with certain additional funding.
The transaction provides funding with the aim to accelerate IQM’s technology and commercial development towards fault-tolerance quantum computing, further advancing its position as a leading provider of quantum computers. Headquartered in Finland, IQM has said it is also considering a dual listing that would see the trading of IQM’s ordinary shares on the Helsinki stock exchange, which would be expected to take place following the completion of this transaction.

VR Group Plc (Seller), Suomen Ostoliikennekalusto Oy (Buyer)
Hannes Snellman advised Suomen Ostoliikennekalusto in the acquisition of VR’s rolling stock used in its publicly funded passenger rail transport services. In connection with the transaction, Suomen Ostoliikennekalusto has entered into a rolling stock lease agreement with Traficom (the Finnish Transport and Communications Agency), and the parties have also entered into a tripartite agreement regarding the use and maintenance of the rolling stock. Suomen Ostoliikennekalusto is a state-owned special assignment company responsible for the management of rolling stock used for publicly funded passenger rail transport services.
This unique arrangement supports the Finnish Government’s programme to promote competition and facilitate market access in the passenger rail transport sector, enabling publicly funded passenger rail transport services to be subject to competitive tendering for the first time in Finland from the beginning of 2031.

Hannes Snellman advised Oy Kati Ab in its exit from Palsatech Oy in connection with a transaction where Taratest Oy acquired majority ownership in Palsatech Oy, a company providing geological and geotechnical services and products for mineral exploration and mining industry.
